Negotiating to restore shareholder relationships.

We assisted our client – a minority shareholder in two large Canberra-based private companies – to address concerns about management by the director/majority shareholder.

Work included advising the client in relation to options to plan for effective, smooth exit of both companies and future dispute resolution including valuation disputes.

Through negotiation and mediation the client secured agreement to a detailed buy-sell agreement included clauses aimed at addressing several known trigger points for friction in a fair and equitable manner, including a detailed pathway towards appointment of an alternate company accountant independent of the director/major shareholder.

Litigation & Dispute Resolution

Successfully defending a deed of company arrangement.

We assisted our client – a deed administrator – to defend the validity of a deed of company arrangement in the Federal Court of Australia.

The central issues were whether the administrator’s report was sufficiently detailed and whether the vote in favour of the deed was valid.

Work included preparation of a detailed affidavit by the deed administrator, justifying his report and recommendations, and an appearance at hearing as solicitor-advocate.

Restructuring a group of private companies and exploiting valuable IP.

We assisted our client – director/shareholder of a group of health sciences with international reach – to restructure for tax effectiveness and to efficiently protect and exploit valuable IP.

Closely following professional tax advice, we developed a structure that was able to quarantine past trading risk, minimise future legal and financial risk and introduce overall administrative efficiency.

Our work also included transfer/assignment of valuable IP holdings and introducing streamlined licensing arrangements.

In a later engagement, we also assisted this client with pre-contractual due diligence in relation to an international goods and services supply contract worth approximately $50 million.

Insurance coverage advice and declinature risk protection.

We assisted our client – whose workers accidentally caused a bushfire leading to greater than $20 million damage – to make an insurance claim and protect against declinature risk.

Work included providing policy coverage advice, obtaining a solvency opinion, quickly effecting an appropriate, legal restructure (closely following professional external tax advice), and arranging to appoint an external administrator.

This work preserved and protected the business at the same time as it opened the door for direct access between those people affected by the fire and the relevant insurer.

Consistent corporate governance and succession planning.

We assisted our client – one of several investors in multiple private companies – to achieve consistent corporate governance and succession planning.

Work included preparation of a bespoke corporate constitution dealing with topics such as key decision-making by directors and members; good and bad leaver provisions; dispute resolution, including valuation disputes; and enforceable confidentiality and intellectual property protections.

Afterwards, we assisted client to develop related legal precedents to use for current and future investment rounds including resolutions and share offer letters.

Terms of Use

The domains namadgilegal.com.au, namadgilegal.com, online.namadgilegal.com.au (the Websites) and all content displayed there is/are owned and operated by AM Hine Hogan Pty Ltd ACN 614 540 957 (Us, We, Our etc) an incorporated legal practice based in the Australian Capital Territory and governed by the Legal Profession Act 2006 (ACT) (LP Act).
Namadgi Legal is the business through which We provide legal services to clients.
Namadgi Online is a separate business. It sells digital access to useful documents, some of which are prepared based on information provided by users in smart forms created by Australian Legal Practitioners affiliated with Namadgi Legal.
No solicitor-client relationship arises between any user and Us through use of the Websites. A solicitor-client relationship will only arise where a user enters a written costs agreement with Namadgi Legal under the LP Act (or equivalent interstate legislation).
All users of the Websites who do not enter a solicitor-client relationship with Us (Non-Client Users) are fully responsible for all decisions relating to all legal matters, including the decision to or not to obtain appropriate legal advice. Without limitation, We do not:
- assist Non-Client Users to select the appropriate document to use;
- promise Non-Client Users that any document is fit for any particular purpose;
- assist Non-Client Users to decide how to answer smart form questions;
- assume any responsibility to ask Non-Client Users any additional questions, no matter how obvious;
- check smart form answers received from Non-Client Users to identify potential problems such as: inappropriate, conflicting, or ambiguous information; omissions; or to identify and mitigate against relevant legal risk;
- provide Non-Client Users with any advice regarding legal consequences or any legal processes or procedures;
- explain documents to Non-Client Users; or
- witness execution of documents by Non-Client Users.
All users warrant and represent to Us that all information placed into a smart form will be and is accurate, complete, and not misleading in any respect. We disclose and users acknowledge that We will rely on smart form information entered by users to provide Our services. We do not offer a refund if information supplied by a user is inaccurate (although We will usually correct minor errors or omissions – such as incorrect spelling of a name or accidental omission of a middle name – for free). On smart form submission users will receive a copy of their answers for checking.
Any Namadgi Online user who requires legal advice (such as described above) must contact Us on +61 (0) 2 5104 3110 or by email to either admin@namadgilegal.com.au to arrange a paid consultation with an Australian Legal Practitioner affiliated with Namadgi Legal in advance of either proposed reliance on any information displayed on or available through the Websites or any document purchase.
Without limitation, We strongly recommend consultation with an Australian Legal Practitioner in advance of purchase or execution of a will, enduring power of attorney or appointment of enduring guardian.
To the maximum extent permitted by law, all users release, indemnify and agree to hold Us harmless from and against any and all claims and liabilities directly or indirectly pertaining to, arising from or concerning use of the Websites (including any documents purchased through it). Including without limitation, all statutory claims, liabilities, conditions, warranties and guarantees that may be excluded are expressly negated.
To the extent that liability for breach of a statutory condition, warranty or guarantee cannot be or is not excluded but can be limited, liability is so limited at Our discretion to either supplying Our goods or services again or to paying the reasonable cost of having equivalent goods or services resupplied by an alternate service provider.
Use of the Websites is governed by the laws applicable in the Australian Capital Territory, Australia. Users submit to the exclusive jurisdiction of the Courts and Tribunals of the Australian Capital Territory, Australia except that, where available in the circumstances, proceedings may be commenced in a Court or Tribunal established under Australian Commonwealth legislation.

Identity checks are compulsory for all ACT and NSW land transactions. This legal requirement is for your protection, to minimise fraud-related risk, and protect the integrity of the Land Titles register.

We cannot act on your behalf if you are not willing to complete an ID check with us.

In line with our commitment to flexible and efficient service delivery, we offer a choice of three options.

Option 1 — InfoTrackID

We prefer to verify your ID remotely using the “InfoTrackID” platform. This option will require you to securely upload copies of your identity documents and complete a video security check. Your identity will be verified by our third party provider (Info Track) using a combination of document verification services (DVS), facial recognition technology, and optical character recognition. As at July 2026, the cost of this option was $35.00 inc GST per person. The fee (current at the time) will be billed to you as a disbursement at cost.

Option 2 — By appointment, at our Page (ACT) office

We can also verify your identity in-person at our Page (ACT) office. If you select this option, we will contact you to arrange an appointment. You will need to bring these documents with you. The costs of this appointment is usually included in our quoted professional fee.

Option 3 — Australia Post

It is also possible to visit a participating Australia Post outlet. If you select this option, we will contact you to provide a custom paper form to fill-in and take it with you. Australia Post will charge you a fee for this service (as at July 2026, the fee was $49 per person). You can read more about this option, here.
